Please read these Terms of Service ("Terms") carefully before using the ReportVertex platform. By accessing or using ReportVertex, you agree to be bound by these Terms.

1. Agreement to Terms

By creating an account or using any part of the ReportVertex service, you agree to these Terms on behalf of yourself and the organization you represent. If you do not agree to these Terms, you may not use the service.

These Terms constitute a legally binding agreement between you ("Customer," "you," or "your") and ReportVertex ("we," "us," or "our").

2. Description of Service

ReportVertex is a cloud-based inspection reporting platform designed for businesses that perform inspections, assessments, and compliance reviews. The service enables users to create inspection templates, conduct inspections, generate professional reports, manage deficiencies, track assets and sites, and collaborate across teams.

ReportVertex is a business-to-business (B2B) SaaS product intended for use by companies and their authorized employees or contractors. It is not intended for personal or consumer use.

3. Account Registration

To use ReportVertex, you must register for an organization account. The person who creates the organization account is designated as the initial administrator ("Admin").

  • You must provide accurate and complete registration information.
  • The Admin is responsible for managing team members, roles, and permissions within the organization.
  • You are responsible for maintaining the security of your account credentials. Notify us immediately if you suspect unauthorized access.
  • Each organization account is for a single legal entity. You may not share your account with unaffiliated parties.

4. Acceptable Use

You agree not to:

  • Use the service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorized access to any part of the service, other accounts, or systems connected to the service.
  • Interfere with or disrupt the integrity or performance of the service.
  • Reverse engineer, decompile, or disassemble any part of the platform.
  • Use the service to store or transmit malicious code, or content that infringes on the rights of others.
  • Resell, sublicense, or redistribute access to the service without our written consent.

5. Subscription and Payment

5.1 Billing

ReportVertex operates on a subscription basis with recurring billing. All payments are processed securely through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis according to your selected plan.

5.2 Plan Changes

You may upgrade or downgrade your subscription plan at any time. Upgrades take effect immediately and are prorated for the remainder of the billing cycle. Downgrades take effect at the start of the next billing cycle.

5.3 Refund Policy

Subscription fees are non-refundable. We do not provide refunds or credits for partial months of service, plan downgrades, or unused features. If you cancel your subscription, you will retain access to the service until the end of your current billing period.

5.4 Taxes

All fees are exclusive of taxes. You are responsible for any applicable sales, use, VAT, or other taxes associated with your subscription.

6. Data Ownership

You retain full ownership of all data, content, and materials you upload, create, or store in ReportVertex ("Customer Data"). We do not claim any ownership rights over your Customer Data.

By using the service, you grant us a limited license to process, store, and display your Customer Data solely for the purpose of providing and improving the service. This license terminates when you delete your data or close your account.

7. Intellectual Property

ReportVertex and its original content, features, and functionality are owned by ReportVertex and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain all rights to your Customer Data. The service, including its design, code, logos, and documentation, remains our exclusive property.

8. Service Availability

We strive to maintain high availability of the ReportVertex platform and will make commercially reasonable efforts to ensure uptime. However, we do not guarantee uninterrupted, error-free, or 100% available service at all times.

Scheduled maintenance windows will be communicated in advance when possible. We are not liable for any downtime caused by circumstances beyond our reasonable control, including third-party service outages, internet disruptions, or force majeure events.

9. Limitation of Liability

To the maximum extent permitted by law, ReportVertex and its directors, employees, partners, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses resulting from:

  • Your use of or inability to use the service.
  • Any unauthorized access to or alteration of your data or transmissions.
  • Any third-party conduct on the service.
  • Any other matter relating to the service.

Our total cumulative liability to you for all claims arising from or related to these Terms or the service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Termination

Either party may terminate this agreement at any time. You may cancel your subscription through your account settings or by contacting support.

  • Upon cancellation, you will retain access until the end of your current billing period.
  • After termination, you will have a 30-day window to export your data. After this period, your data may be permanently deleted.
  • We reserve the right to suspend or terminate your account immediately if you violate these Terms or engage in conduct that is harmful to other users or the service.

11. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email or through an in-app notice at least 30 days before the changes take effect. Your continued use of the service after changes become effective constitutes acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.
